1. Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and VoxAI Agent LLC (“VoxAI Agent,” “we,” “us,” or “our”) governing your access to and use of the VoxAIAgent.com platform and all related services (collectively, the “Service”).

By signing up for an account, clicking any “Get Started,” “Start Free Trial,” or similar button, or by accessing or using any part of the Service, you acknowledge that you have read these Terms, understand them, and agree to be bound by them. If you are using the Service on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms.

You must be at least 18 years of age and capable of entering a legally binding contract to use this Service. Use by minors is strictly prohibited.

2. Description of Service & AI Disclosure

VoxAIAgent.com provides AI-powered voice agent, inbound call answering, outbound calling, lead management, and related automation services. You acknowledge and agree that:

  • The Service uses artificial intelligence, machine learning, and voice synthesis to conduct conversations on your behalf.
  • The AI operates based on the configuration, knowledge base, scripts, and instructions you provide. The quality, accuracy, and appropriateness of your agent’s behavior is directly tied to how you configure and train it.
  • The Service is not a replacement for emergency services. You may not use the Service to call 911 or any emergency line.
  • AI-generated responses may occasionally contain inaccurate or incomplete information. You are responsible for verifying the accuracy of information handled by your agent, especially anything involving pricing, appointments, legal matters, or health.
  • VoxAI Agent does not guarantee that the Service will meet every specific regulatory requirement in your jurisdiction. You are solely responsible for ensuring your use is lawful.

3. Your AI Agent Is Your Responsibility

Important: Your AI agent represents your business.

When you deploy an AI agent through VoxAIAgent.com, that agent acts as a direct representative of your business — the same as an employee or contractor you hire and direct. Everything your agent says, every call it makes, and every action it takes on your behalf is your legal and ethical responsibility. VoxAI Agent is a technology platform; you are the operator.

3.1 Agent as Business Representative

Your AI agent operates as a direct extension and representative of your business. You are fully responsible for:

  • All statements made by your agent. Any commitments, representations, pricing, or promises made by your agent during a call bind you as the business operator, the same as if your employee made them.
  • Who your agent contacts. You are responsible for the accuracy and legality of every contact list or prospect you upload or connect to the Service.
  • How your agent is identified. Your agent must accurately represent your business name and purpose. You may not configure an agent to impersonate another business, person, or brand.
  • The downstream outcome of every call. If a customer relies on something your agent says and suffers harm as a result, that liability rests with you as the operator.

3.2 Training & Configuration Obligations

Deploying an AI agent requires the same diligence as onboarding a new employee. You agree to:

  • Provide accurate business information. The knowledge base, scripts, and context you give your agent must be truthful and up to date. Providing false business information to configure your agent is a violation of these Terms.
  • Review your agent’s behavior regularly. You should monitor call recordings and transcripts to ensure your agent is performing as intended and not producing inaccurate or inappropriate responses.
  • Update your agent when your business changes. If your pricing, hours, services, or policies change, you are responsible for updating your agent’s configuration promptly. You are liable for outdated information your agent communicates after a change.
  • Set appropriate call boundaries. You should configure your agent with realistic daily call limits, business hours, and targeted outreach to ensure responsible use.
  • Test before going live. You should test your agent in a safe environment before deploying it to real customers or prospects.

3.3 Platform Safety Guardrails

VoxAI Agent implements automated safety systems designed to prevent misuse of the platform. These include:

  • Content filtering. The AI is configured to refuse instructions that direct it toward illegal activity, hate speech, harassment, threats, fraud, or sexually explicit content. Attempts to bypass these filters (“jailbreaking”) are logged and may result in immediate account termination.
  • Call recording disclosure. All agents are automatically configured to announce at the start of every call that the conversation may be recorded. You may not suppress or alter this disclosure.
  • Emergency call blocking. The platform prohibits routing calls to 911 or other emergency services.
  • Rate limiting. Outbound campaigns are subject to call rate and daily volume limits to prevent harassment and comply with carrier regulations.

The existence of these guardrails does not relieve you of your own responsibility to operate lawfully and ethically. These safeguards are a baseline — not a guarantee against all possible misuse. You remain fully responsible for how you configure, train, and deploy your agent.

4. Legal Compliance & Call Recording

You are solely responsible for compliance with all applicable federal, state, and local laws governing your use of this Service.

4.1 Call Recording Disclosure

VoxAIAgent.com automatically configures all AI agents to deliver a recording disclosure at the beginning of every call:

“Just to let you know, this call may be recorded for quality and training purposes.”

While we provide this built-in disclosure, you remain solely responsible for ensuring it satisfies the legal requirements of every jurisdiction where you operate:

  • One-Party Consent States: Under federal law (18 U.S.C. § 2511), only one party must consent to recording. Most U.S. states follow this standard.
  • All-Party Consent States: States including California, Connecticut, Florida, Illinois, Maryland, Massachusetts, Michigan, Montana, Nevada, New Hampshire, Oregon, Pennsylvania, and Washington require all-party consent before recording. You must ensure your use complies with these laws. We recommend consulting legal counsel for your specific jurisdiction.
  • International Calls: Recording laws vary significantly outside the U.S. (e.g., GDPR in the EU, PIPEDA in Canada). You are responsible for all applicable international compliance.
  • Do Not Modify the Disclosure: You may not suppress, remove, or materially alter the recording disclosure. Doing so violates these Terms and may expose you to significant legal liability.

4.2 TCPA & Outbound Call Regulations

  • Prior Express Written Consent: For outbound campaigns using AI or automated voice, you explicitly represent that you have obtained “prior express written consent” from all recipients as required by the Telephone Consumer Protection Act (TCPA) and FCC regulations. Violations carry statutory damages of $500–$1,500 per call.
  • AI Disclosure on Outbound Calls: Certain states and emerging federal guidelines require disclosure that the caller is an AI or automated system at the start of the call. You are responsible for ensuring your campaigns comply with such requirements in your target jurisdictions.
  • Abandoned Call Rate: FCC rules cap the permissible rate of abandoned outbound calls. You are responsible for configuring your campaign settings to remain within legal limits.

4.3 Do Not Call Registry

  • National DNC Registry: You must scrub your contact lists against the National Do Not Call Registry before initiating any outbound campaign.
  • Internal DNC Lists: You must maintain and honor an internal Do Not Call list for any individual who has requested not to be contacted.
  • State DNC Registries: Some states maintain their own DNC registries. You are responsible for compliance with all applicable state requirements.

5. Acceptable Use & Right to Refuse Service

VoxAIAgent.com is provided for legitimate, lawful business use only. We maintain a zero-tolerance policy for misuse of our AI technology.

5.1 Prohibited Uses

You agree not to use the Service to:

  • Make emergency calls or route calls to any emergency services.
  • Conduct debt collection, gambling, adult content, or multi-level marketing activities.
  • Harass, threaten, intimidate, or abuse any individual.
  • Engage in fraud, impersonation, phishing, or deceptive trade practices.
  • Generate or distribute hate speech, discriminatory content, or content that violates the rights of others.
  • Attempt to manipulate, “jailbreak,” or circumvent the AI’s safety filters or content restrictions.
  • Violate any applicable local, state, federal, or international law or regulation.
  • Resell, sublicense, or provide the Service to third parties without our prior written consent.
  • Reverse engineer, disassemble, or otherwise attempt to derive the source code of the platform.

5.2 Enforcement

  • Right to Refuse or Terminate: We reserve the right to refuse service to any individual or business, or cancel any subscription, if we believe the Service is being used for illegitimate, unethical, or harmful purposes.
  • Immediate Account Termination: Users found attempting to bypass safety guardrails, violating TCPA, or using the Service for fraudulent or illegal activity will be permanently banned without refund and may be reported to applicable authorities.

6. Indemnification

You agree to indemnify, defend, and hold harmless VoxAI Agent LLC, its officers, directors, employees, agents, and successors from and against any and all claims, liabilities, damages, losses, penalties, and expenses (including reasonable legal fees) arising out of or in any way related to:

  • Your access to or use of the Service.
  • Your AI agent’s conduct, statements, or actions taken during any call or communication on your behalf.
  • Your violation of these Terms or any applicable law, including TCPA, GDPR, or call recording consent statutes.
  • Any contact list, data, or content you upload or use in connection with the Service.
  • Any claim by a third party that your use of the Service caused them harm.

7. Limitation of Liability

To the fullest extent permitted by law, VoxAI Agent LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or business opportunity, arising out of or related to your use of the Service — even if we have been advised of the possibility of such damages.

Our total aggregate liability to you for any claims arising under these Terms shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim or (b) $100 USD. This limitation applies regardless of the legal theory on which the claim is based.

8. Payment & Subscription

Services are billed on a recurring subscription basis. We use Stripe for payment processing. By providing payment information, you authorize us to charge the applicable fees at the start of each billing period.

  • Free Trial: A 7-day free trial is available for new accounts. A valid payment method is required to start the trial. If you do not cancel before the trial ends, your selected plan will be charged automatically.
  • Cancellation: You may cancel at any time. Cancellation takes effect at the end of your current billing period. We do not provide prorated refunds for partial billing periods unless required by law.
  • Price Changes: We reserve the right to change pricing upon 30 days’ written notice. Continued use of the Service after a price change constitutes your acceptance of the new pricing.
  • Credits: Unused call-minute credits generally expire at the end of your billing cycle unless otherwise stated in your plan.

9. Data, Privacy & Retention

We retain call logs, recordings, transcripts, and related data for a limited period to provide and improve the Service. You are responsible for exporting any data you wish to retain long-term. We may delete data associated with inactive or terminated accounts after 90 days of inactivity.

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service you consent to our data practices as described in the Privacy Policy.

10. Intellectual Property

The Service, including all software, AI models, interfaces, and content provided by VoxAI Agent LLC, is protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service solely for your own lawful business purposes.

You retain ownership of all content, data, and contact lists you upload to the Service. By uploading content you grant us a limited license to use it solely to provide the Service to you.

11. Termination

We reserve the right to suspend or terminate your account immediately, without prior notice or liability, for any reason — including if you breach these Terms, violate TCPA, use the Service for illegal purposes, or attempt to circumvent safety guardrails. Accounts terminated for cause will not receive refunds. You may terminate your account at any time through your account settings.

12. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to conflict of law principles. Any dispute arising under these Terms shall first be submitted to non-binding mediation before either party may pursue litigation or arbitration.

You agree that any legal action or proceeding relating to these Terms shall be brought exclusively in the state or federal courts located in Florida, and you hereby consent to the personal jurisdiction of such courts.

13. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the effective date at the top of this page and, for material changes, notify you by email or a prominent notice within the platform. Your continued use of the Service after any change constitutes your acceptance of the revised Terms.
